What WaveRelay Provides

WaveRelay is a subscription-based music streaming service designed specifically for businesses. We provide access to our proprietary library of royalty-free music for use as background music in commercial establishments.

Service Features Include:

• Streaming access to our curated music library
• Genre-based playlists optimized for different business types
• Playlist scheduling and automation tools
• Offline download capabilities (Business and Enterprise plans)
• Multi-location management (Enterprise plan)
• Customer support and technical assistance

Service Limitations:

• Music is licensed for background use in physical business locations only
• Not licensed for advertising, marketing, or broadcast use
• Requires active internet connection for streaming
• Subject to availability and technical limitations

Account Requirements

To use WaveRelay, you must create an account and provide accurate, complete information. You are responsible for maintaining the security of your account credentials.

Eligibility:

• Must be 18 years or older
• Must represent a legitimate business entity
• Must have authority to enter into this agreement on behalf of your business
• Must provide valid business contact information

Account Responsibilities:

• Keep login credentials secure and confidential
• Notify us immediately of any unauthorized access
• Ensure all account information remains accurate and up-to-date
• Use the service only for its intended business purposes

Subscription Plans

WaveRelay offers multiple subscription tiers with different features and pricing. All subscriptions are billed in advance on a monthly or annual basis.

Billing Terms:

• Subscriptions automatically renew unless cancelled
• Payment is due in advance for each billing period
• Failed payments may result in service suspension
• Refunds are provided only as specified in our refund policy
• Prices may change with 30 days advance notice

License Grant

Subject to your compliance with these Terms and payment of applicable fees, WaveRelay grants you a limited, non-exclusive, non-transferable license to use our music as background music in your physical business location(s).

Permitted Uses:

• Background music in your physical business premises
• Music during business events held at your location
• Hold music for business telephone systems
• Background audio for in-person business presentations

Prohibited Uses:

• Broadcasting, webcasting, or streaming to external audiences
• Use in advertisements, commercials, or marketing materials
• Incorporation into other audio/video productions
• Resale, redistribution, or sublicensing of the music
• Use outside of your subscribed business location(s)
• Personal or non-commercial use

Acceptable Use

You agree to use WaveRelay only for lawful business purposes and in accordance with these Terms.

You agree NOT to:

• Attempt to download, copy, or distribute our music outside of authorized methods
• Reverse engineer, decompile, or attempt to extract our music files
• Share your account credentials with unauthorized parties
• Use the service for any illegal or unauthorized purpose
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to our systems
• Use automated systems to access the service without permission

Enforcement:

We reserve the right to investigate violations of these Terms and take appropriate action, including suspension or termination of your account, with or without notice.

Service Uptime

While we strive to provide reliable service, WaveRelay is provided "as is" and we do not guarantee uninterrupted access. Service may be temporarily unavailable due to maintenance, updates, or technical issues.

Service Changes:

• We may modify, update, or discontinue features with reasonable notice
• Music library content may change over time
• We may add new features or services to enhance your experience
• Technical requirements may change as technology evolves

Planned Maintenance:

We will provide advance notice of scheduled maintenance when possible. Emergency maintenance may occur without prior notice.

Termination by You

You may cancel your subscription at any time through your account dashboard. Cancellation will be effective at the end of your current billing period.

Termination by WaveRelay

We may suspend or terminate your account immediately if you violate these Terms, fail to pay fees, or engage in prohibited activities.

Effect of Termination:

• Immediate loss of access to the WaveRelay service
• Downloaded music files will no longer function
• All music usage rights terminate immediately
• Account data may be deleted after 90 days
• No refund for unused portion of prepaid fees (except as required by law)

Service Disclaimers

WAVERELAY IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVERELAY'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

Excluded Damages:

We shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.

AI-Generated Music Disclaimer:

All music provided through WaveRelay is generated using AI tools under valid commercial-use licenses. We do not claim authorship over the generated works and cannot guarantee that the music will be entirely free from resemblance to existing compositions. In the event of any copyright dispute or infringement claim, our liability is strictly limited to the scope of our license agreement and excludes responsibility for unintended similarities.

Applicable Law

These Terms are governed by the laws of the State of The Netherlands, without regard to conflict of law principles.

Dispute Resolution

Any disputes arising from these Terms or your use of WaveRelay will be resolved through binding arbitration in The Netherlands, except for claims that may be brought in small claims court.

Class Action Waiver:

You agree that any arbitration or legal proceeding will be conducted on an individual basis and not as part of a class action or collective proceeding.

WaveRelay provides access to music that is generated using artificial intelligence tools, including Suno.ai, under valid Pro-tier commercial-use licenses. We do not claim original authorship over these AI-generated works.

Our licensing grants you the right to use this music within your business premises during your active subscription. These tracks are provided in good faith and to the best of our knowledge comply with licensing and copyright law.

WaveRelay shall not be held liable for any similarities between AI-generated tracks and existing copyrighted material. In case of a claim, we will cooperate in resolving the matter, including coordinating with the license provider (e.g. Suno).

Users acknowledge that WaveRelay’s music catalog may not be registered with performance rights organizations (PROs) and is not intended for use in broadcast, film, or advertising without separate licensing arrangements.

You agree to indemnify, defend, and hold harmless WaveRelay, its partners, affiliates, and licensors from any claims, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your violation of these Terms or any applicable law or regulation
• Your misuse of the music, including unauthorized public performance, broadcasting, or distribution
• Your use of the service in a manner that infringes on third-party rights

This indemnification obligation will survive the termination of your subscription and use of the WaveRelay service.

Terms Updates

We may update these Terms from time to time. Material changes will be communicated via email or through our service. Continued use after changes constitutes acceptance of the updated Terms.
